These Terms & Conditions (“Terms”) govern the provision of professional services by Artemis Gaia (“we”, “us”) to business clients (“Client”, “you”). By engaging our services, you agree to these Terms.
1) Scope of Services
Services may include strategy, branding, design, development, SEO, marketing, and content management. Specific deliverables, timelines, and fees will be defined in a written proposal, statement of work, or master services agreement (“Agreement”).
2) Engagement Structure
Work is performed on a B2B basis. We may collaborate with vetted subcontractors where appropriate. The Client agrees to provide timely access to required information, assets, stakeholders, and approvals to support delivery.
3) Fees, Invoicing, and Payment
Fees are set out in the applicable Agreement. Unless otherwise stated, invoices are due within 7 days. Late payments may result in paused work. Taxes and third-party costs (e.g., hosting, licenses, media spend) are borne by the Client unless explicitly included.
4) Confidentiality
Both parties agree to keep non-public business information confidential and to use such information solely for the purpose of delivering the services. Confidentiality obligations survive termination of the engagement.
5) Governance and Jurisdiction
This Agreement is governed by the laws of Switzerland, with place of jurisdiction in Zurich, Switzerland, unless a written Agreement states otherwise. The parties agree to attempt good-faith resolution before escalation.
6) Limitations
We provide professional services and do not guarantee specific financial outcomes. Any performance targets must be explicitly stated in writing. The Client is responsible for compliance with laws applicable to its business and content.
7) Termination
Either party may terminate an engagement with written notice as defined in the applicable Agreement. Upon termination, the Client remains responsible for fees incurred up to the termination date and any non-cancellable third-party commitments.
We respect privacy by design. This Privacy Policy explains how Artemis Gaia collects, uses, stores, and protects personal data in alignment with Swiss standards and applicable regulations, including GDPR and the Swiss Federal Act on Data Protection (FADP).
1) Data We Collect
We may collect contact details (e.g., name, email), company details, and project-related information you submit through forms or communications. We avoid collecting sensitive personal data unless explicitly necessary and consented to.
2) Purpose of Processing
We process data to respond to inquiries, provide proposals and services, manage client relationships, deliver contracted work, and maintain operational security and quality. We may use aggregated analytics to improve service performance.
3) Legal Basis
Processing is based on legitimate interests (B2B operations), contractual necessity, and/or consent where required.
4) Data Retention
We retain data only as long as necessary for the purposes described, legal obligations, and legitimate business needs. Retention periods may vary based on engagement status and jurisdictional requirements.
5) Sharing and Subprocessors
We may share data with trusted service providers (e.g., hosting, analytics, communication tools) strictly as needed. Subprocessors are expected to maintain appropriate security and confidentiality controls.
6) International Transfers
If data is transferred internationally, we use appropriate safeguards (e.g., contractual protections, adequacy decisions) consistent with GDPR/FADP requirements.
7) Security Measures
We apply access controls, data minimization, encryption where appropriate, and operational procedures to protect data from unauthorized access or disclosure.
8) Your Rights
You may request access, correction, or deletion of your personal data where applicable, and you may object to certain processing. Requests can be submitted via the contact channel.
1) Background IP
Each party retains ownership of intellectual property developed prior to the engagement or independently of it (“Background IP”).
2) Deliverables
Upon full payment of all applicable fees, the Client receives rights to the agreed deliverables as specified in the Agreement. Where applicable, source files, code, and brand assets are transferred under defined usage terms.
3) Third-Party Materials
The Client is responsible for licenses required for third-party tools, fonts, platforms, and media unless otherwise stated.
4) Confidentiality and Brand Asset Protection
We treat brand assets and strategic materials as confidential. We do not disclose or reuse Client-specific proprietary assets without permission. Public portfolio inclusion requires written consent.
5) Attribution
Attribution terms (if any) will be specified in the Agreement. Premium engagements often require minimal or no public attribution.
Due to the bespoke nature of strategic and creative services, fees paid for completed work, reserved capacity, and work in progress are non-refundable unless explicitly agreed in writing.
1) Reserved Capacity
Retainers and deposits reserve specialist capacity, planning, and scheduling. This capacity cannot be resold on short notice; therefore, reserved capacity fees are non-refundable.
2) Milestones
Where milestone payments apply, work delivered and approved at each milestone remains billable. If a project is paused or terminated, the Client is responsible for fees incurred through the effective termination date.
3) Exceptions
Any exceptions must be documented in a signed Agreement. Third-party costs (licenses, hosting, media spend) are non-refundable.
The Ghost Protocol is our internal standard for calm, privacy-respecting operations. It is designed to reduce exposure, improve clarity, and protect partner ecosystems across strategy, content, and technology.
1) Data Minimization
Collect only what is required. Avoid unnecessary storage. Prefer anonymized and aggregated analytics where feasible.
2) Access Discipline
Restrict access to a need-to-know basis. Use role-based permissions. Maintain clear documentation for shared systems.
3) Secure Collaboration
Use trusted tooling and controlled workflows for file sharing, code access, and approvals. Align with GDPR/FADP requirements for processing where applicable.
4) Retention & Cleanup
Periodically review stored data and access. Remove outdated copies. Maintain clean operational surfaces.
